Scope of Services

Rodgers Security Solutions Inc. will provide the following security professionals: - 15 unarmed guards for the party - 4 unarmed guards for 24-hour security from Thursday to Monday - 4 unarmed supervisors 4. Implementation Plan 4.1 Pre-Event Preparation  We will work closely with TwitchCon event organizers to finalize security plans, conduct site visits, and develop detailed security protocols. 4.2 On-Site Management  A dedicated management team will be on-site throughout the event to oversee security operations, handle any issues, and ensure seamless coordination with event staff. 4.3 Post-Event Review  After the event, we will conduct a debrief to evaluate the security operations and provide a comprehensive report to the client.

Security Patrols

•. Patrolling interior and exterior of the premises •. Walk the event grounds at scheduled intervals to maintain visibility. •. Check restricted areas, emergency exits, and high-traffic zones. •. Ensure vendors and staff follow safety protocols.

Access Control

Monitoring and controlling entry and exit points. • Ensure only authorized attendees enter. • Turn away unauthorized visitors or uninvited guests. • Deny unauthorized access and report any issues to event management.

Security Screening

- Verifying credentials - Bag & Vehicle Checks: • Conduct bag inspections per event security protocol. •. Monitor vehicle access and ensure compliance with event parking rules.

Crowd Management

•. Ensuring the orderly flow of attendees; preventing unauthorized access. •. Prevent bottlenecks and keep the entry area organized. •. Direct vehicles to designated parking areas, if applicable

Emergency Response

Rapid response to any security incidents or emergencies. • Keep entry clear for emergency personnel if required. • Assist in crowd evacuation if an incident occurs.

Surveillance & Threat Prevention

• Monitor for suspicious activity and alert security leads if needed. • Watch for intoxicated or disruptive individuals. • Watch for loitering, suspicious behavior, or unauthorized vehicles near entrances and/or loading zones.

Property Protection

•. Prevent vandalism, theft, or unauthorized use of equipment. •. Monitor backstage and VIP areas for restricted access violations. •. Keep unauthorized individuals from accessing restricted areas.

Incident Reporting

•. Document all notable incidents and relay critical information to the security supervisor. •. Work closely with the other team(s) to coordinate responses to potential threats.

Pre-Event Briefing

DATE & TIME: Before security deployment (at least 1-2 days before the event; one week prior is preferable) LOCATION: Client's designated meeting space or via conference call ATTENDEES: Client, event planner, security supervisor(s) PURPOSE: - Align on security expectations, priorities, and any last-minute adjustments. - To ensure client concerns and specific requests are addressed. LOCATION: Via conference call ATTENDEES: Client, event planner, security supervisor(s) PURPOSE: - Review security performance, discuss incidents, and document lessons learned. - Strengthen future event security strategies based on client feedback. AGENDA: 1. Incident & Response Review 2. Security Effectiveness Assessment 3. Guest & Staff Feedback 4. Recommendations for Future Events 5. Final Report & Documentation

Provisions & Investment

To effectively execute our services, Rodgers Security Solutions Inc. requests the following provisions: 5.1 HOURLY GUARD RATE We propose an hourly guard rate of $55.00 per security guard and $65.00 per supervisor. 5.2 HOTEL ACCOMMODATIONS We request that hotel rooms be provided for our security management team to ensure proximity to the event for efficient oversight and coordination. 5.3 PARKING Parking accommodations for all security personnel for the duration of the event. 5.4 COMMAND POST If possible, provide a designated area where our security personnel can check in and out and coordinate with our management team. 5.5 LUNCH PASSES Lunch passes for all security personnel to ensure they are well-fed and able to perform their duties effectively. 5.6 TERMS AND CONDITIONS Be sure to review our Terms and Conditions section to understand the terms and conditions of your engagement with Rodgers Security Solutions. 6. PAYMENT TERMS A 60% deposit of the total estimated cost is required to retain our services and is due March 24, 2025, with the balance due on April 14, 2025. 6.1 Late Payment Terms: 6.1.1. GRACE PERIOD: A five (5) day grace period applies before late fees are assessed. 6.1.2. LATE PAYMENT PENALTY: - INITIAL PENALTY: A penalty of 3% of the overdue balance will be applied if payment is not received within the agreed payment terms. - INCREASED PENALTY: If the overdue balance remains unpaid after 60 days from the invoice due date, the penalty will increase to 6% of the overdue balance. - FINAL PENALTY: For balances unpaid after 90 days, a penalty of 10% of the overdue balance will be applied, and services may be subject to suspension (see Suspension of Services clause). 6.1.3. CAP ON PENALTIES: Total penalties will not exceed 10% of the original invoice amount. 6.1.4. SERVICE SUSPENSION: For invoices outstanding beyond 90 days, services may be suspended with a five (5) day written notice. Services will resume upon full payment of the overdue balance and applicable penalties. 6.1.5. REINSTATEMENT TERMS: - Full payment of overdue balances and penalties. - Payment of a reinstatement fee of $1,500 to cover administrative costs. 7. Powered by Technology

In addition to our competency and capabilities to install CCTV technology (or use already installed units) at client sites, we also use web and mobile technology to provide Visitor and Vendor Management. We can customize visitor profiles, create badges, and get real-time access to visitor lists, ensuring that we can track your employees, visitors, and vendors in case of an emergency. This is also an added benefit when needing to enforce restricted access to terminated employees or individuals with protective orders. We also utilize a global online guard tour management and monitoring system. Using web and mobile apps, we can track and report real-time events, monitor our guards, and ensure that they are not only patrolling client sites but also providing them with the added reassurance that their safety is also our major concern. Using GPS position tracking SOS alarm and push-to-talk (PTT) features, we can be alerted when there are “Man Down” events and other situations where backup security and law enforcement may need to be called on-site.

How?

  • We can set up interior and exterior checkpoints that can be scanned using QR codes that we will affix to discreet yet accessible locations on your premises.
  • The staff scans tags placed on locations and assets, and the Monitoring Center gets informed in real-time about incidents and events.
  • Any time a QR-code, NFC tag, or Beacon is scanned, the information is sent to the web application via a cloud server, and the staff takes immediate control of buildings and locations all over the world.
  • If an incident requires backup or assistance from law enforcement, the guard can send an SOS alert (that notifies three RSS managers) or reach any RSS staff member through PTT or text, and our team can respond immediately.
Each guard conducting a guard tour is armed with unique technology. They can now manage their work via their smartphone and complete guard tours in total control of occurring incidents. Inspections and guard tours are enhanced with the ability to attach pictures, voice messages, notes, and signatures to the scanned items. Additionally, our staff can immediately inform the facility managers who are responsible for monitoring assets and locations. We can control all kinds of assets and buildings, ranging from departments, locations, and warehouses to transportation areas, airports, stores, and remote areas, as facility managers and staff can handle a large quantity of information for any client just from one location.
  • Our management team can analyze data and export multiple reports in real time.
  • All data can be viewed and filtered by date range and status.
  • All scheduled, overdue, missed, passed, and failed scans can be reviewed in real time.
  • We can send you daily, weekly, and monthly reports based on preferred filters.

1. Initial Retainer

Unless otherwise agreed in writing, the Client shall pay an initial retainer of sixty percent (60%) of a thirty (30) day invoice prior to the commencement of services.

2. Late Payment Terms:

  • Grace Period: A five (5) day grace period applies before late fees are assessed.
  • Late Payment Penalty:
    • Initial Penalty: A penalty of 3% of the overdue balance will be applied if payment is not received within the agreed payment terms.
    • Increased Penalty: If the overdue balance remains unpaid after 60 days from the invoice due date, the penalty will increase to 6% of the overdue balance.
    • Final Penalty: For balances unpaid after 90 days, a penalty of 10% of the overdue balance will be applied, and services may be subject to suspension (see Suspension of Services clause).
  • Cap on Penalties: Total penalties will not exceed 10% of the original invoice amount.
  • Service Suspension: For invoices outstanding beyond 90 days, services may be suspended with a five (5) day written notice. Services will resume upon full payment of the overdue balance and applicable penalties.
  • Reinstatement Terms:
    1. Full payment of overdue balances and penalties.
    2. Payment of a reinstatement fee of $1,500 to cover administrative costs.

3. Contract Renewal Option:

Client agrees to discuss by or before the end of the contract term a negotiated increase of per-hour or annual calculated rate by/of ten percent (10%), based on RSS meeting or exceeding primary goals and/or expected results as stated in our proposal. Any such increase, if agreed to, shall be documented in a written agreement signed by the authorized representative of each party.

4.   Independent Contractor

RSS is an independent contractor and not an employee or agent of the Client. RSS will provide services using its own employees and/or subcontractors and maintain sole discretion over the methods and means of performing the services.

5.   Compliance

Both RSS and Client agree to comply with all applicable federal, state, and local laws, regulations, and ordinances related to their respective obligations under this Agreement. RSS shall comply with Client-specific policies as provided in writing, and Client shall ensure that its operations and requirements do not violate applicable laws or regulations.

6.   Indemnification

Client agrees to indemnify and hold RSS harmless from any claims, damages, or liabilities arising from Client’s failure to provide necessary information or access required for RSS to perform its services. RSS agrees to indemnify and hold Client harmless for claims arising from gross negligence or willful misconduct by RSS.

7.   Limited Liability

RSS is not an insurer of property or a law enforcement agency. RSS’s liability is limited to the fees paid for the services rendered. RSS assumes no responsibility for losses or damages not directly caused by its employees’ gross negligence or willful misconduct.

8.   Confidentiality and Proprietary Information

Both parties acknowledge that, during the course of this Agreement, they may have access to the other party's confidential and proprietary information. Each party agrees to:
  • Use such information solely to fulfill their obligations under this Agreement.
  • Take all reasonable measures to protect such information from unauthorized disclosure or use.
  • Refrain from disclosing or using the other party’s confidential or proprietary information for any purpose not expressly permitted by this Agreement, including the solicitation or hiring of employees or contractors. This provision shall survive the termination of this Agreement.

9.   Term and Termination

This Agreement shall commence on the date of signed approval by both parties and continue until terminated by either party with thirty (30) days’ written notice. Termination shall not relieve Client of any outstanding payment obligations.

10.   Entire Agreement

Once this proposal is approved by the client, it will serve as the formal Agreement that constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements or understandings.

11.   Amendments

This Agreement may only be modified or amended in writing, signed by both parties.

12.   Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, County of Los Angeles.
